Supply is made under the conditions explicitly described in the text of the order confirmation. For all matters not explicitly agreed upon in the contract, the following general conditions apply, as well as the ANIE regulations for industrial equipment with static converters, in force from the date of contract conclusion.

1. Delivery is agreed at the Supplier’s warehouse and executed upon delivery of the material to the Purchaser or the Carrier, even in cases where the contractual delivery is free to the destination. Upon delivery, all risks on the sold materials transfer to the Purchaser. If, for any reason, the delivery cannot take place due to circumstances beyond the Supplier’s control, it is considered executed upon simple notice of readiness of the goods.
2. The delivery term established in the contract is purely indicative, and the Supplier assumes no responsibility for any damages that the Purchaser may suffer due to any potential delay in delivery unless the contract explicitly accepts the delivery term as binding and defines the penalty that the Purchaser may claim from the Supplier as full compensation for any damages.
3. The Supplier retains ownership of the supplied material until full payment is made.
4. The Supplier guarantees the technical performance of its material within the limits described in the contract or in explicitly referenced attachments.
5. The Supplier guarantees the good quality of its material, undertaking during the warranty period specified in the contract to repair or replace free of charge the defective parts as quickly as possible. The repair or replacement work under warranty will be, at the Supplier’s discretion, performed at its warehouse, authorized service centers, or on-site. In any case, any travel and accommodation expenses of the Supplier’s personnel or transportation expenses for the material are fully borne by the Purchaser. Nothing shall be owed to the Purchaser for the time during which the plant remains inoperative, nor can they claim compensation or indemnification for expenses, accidents, or direct and indirect damages incurred. The Supplier’s obligations to fulfill its warranty commitments will be suspended towards the Purchaser in default of payment.
6. For any dispute, the competent jurisdiction is that of Monza.
